Committee

The Audit Committee is a supporting organ under the Board of Commissioners. This committee was established to assist the Board of Commissioners to oversee the management of the company in accordance with the principles of Good Corporate Governance (GCG). Audit Committee members are appointed and dismissed by the Board of Commissioners and reported to the GMS.

Samsul Hidayat

Samsul Hidayat, 51 years old, is an Indonesian citizen who was born in Jambi on February 22, 1968.

He obtained a Bachelor of Economics degree at Jambi State University, Jambi in 1991, and in 1999 obtained his Master of Business Administration (Finance), Cleveland State University, Ohio – USA.

He started his career in the Capital Market Supervisory Agency since 1993. In 1999 - 2002 he became the Head of Sub Division of Work Plan and Report Section in the Capital Market and Financial Institution Supervisory Agency. From 2001 up to 2002 he became the Head of Sub Division of Basic Business Openness and Pharmacy Capital Market and Financial Institution Supervisory Agency. Then in 2002 - 2004, he became the Head of Sub Division of Investigation of Issuers and Public Companies. In 2004 - 2006 he became the Head of Sub Division of Openness Investigation Section of Issuers and Public Companies in the Real Sector, in 2006 - 2012 became Head of the Supervision Section of Securities Institutions, Transaction Bureaus and Securities Institutions. In 2012 - 2015 he served as Director of Trade and Exchange Members Regulation at PT Bursa Efek Indonesia. Then in 2015 to 2018, he served as Director of Corporate Appraisal at PT Bursa Efek Indonesia. Since 2018 he has served as Independent Commissioner of PT Mirae Asset Sekuritas Indonesia and PT Sentral Mitra Informatika Tbk. Since 2019 he has served as an Independent Commissioner at PT Indonesian Tobacco Tbk.

Andi Sudhana

Andi Sudhana, SE., MM., Ak., CA., CRMP., CSRA.

Andi Sudhana is an Indonesian citizen, 60 years old, born in Medan on October 16, 1961, domiciled in Jakarta. He holds a Bachelor of Economics specializing in Accounting from the University of North Sumatra. He also posesses the following Accountant certifications: State Register from the Ministry of Finance of the Republic of Indonesia (1991), Chartered Accountant (CA) from the Indonesian Institute of Accountants (2015), Representative of Securities Trading Intermediaries from the Capital Market Professional Standards Committee (2013), Capital Market Sharia Expert (2016), Certified Risk Management Professional (CRMP) from the National Professional Certification Agency (2019), Certified Sustainability Reporting Specialist (CSRS) from the Global Reporting Initiative (2019) and Certified Sustainability Reporting Assurer (CSRA) from the Global Reporting Initiative (2020).

He serves as a commissioner at the Dwidana Sakti Securities (2017-present), Audit Committee of PT Pelindo III, (2017-present), Indonesian Stock Exchange Issuer Audit Committee, PT Indonesian Tobacco Tbk. and PT Dana Brata Luhur (2019-present), Lecturer at the Capital Market Certification Institute (2011-present), Lecturer at several universities in Medan and Jakarta (1986-present), Consultant for Securities Companies in the Capital Market (2017-present). In addition, he also worked as Division Head at the Indonesia Stock Exchange (1997-2015), Bank Account Officer and Bank Inspector (1988-1997) and Head of the Audit Team at a Public Accountant Firm (1986- 1988).

Danar Wihandoyo

Danar Wihandoyo was born in Jakarta on August 12, 1970. He holds a Bachelor of Science (BSc) specializing in Finance from the University of Toledo. At the same university, he also acquired a Masters in Business Administration (MBA) specializing in Financial and Operations Management. He has worked in the financial sector for more than 20 years. He pursued his career at PT Merrill Lynch Indonesia in 1996. His work experiences include an investment banker, corporate finance and CFO for 11 years in 3 public companies. As CFO at Telco, he has experience in coal mining, aviation and food industry sectors. This proves that he is a competent consultant.

Internal Audit Unit

The head of the internal audit unit is appointed and dismissed by the President Director with the approval of the Board of Commissioners. If the head of the internal audit unit does not meet the requirements as an auditor of the internal audit unit as stipulated in the Financial Services Authority Regulation No. 56/POJK.04/2015 concerning the establishment and guidelines for preparing the Charter of the internal audit unit (Regulation) or fails or is incapable of carrying out tasks, then the Board of Directors may dismiss the Head of the Internal Audit Unit after obtaining approval from the Company’s Board of Commissioners.

Rizky Hartawan, SE, MM was born in Bandung on April 19, 1967. He holds a Masters in Management from Padjajaran University, Bandung. He pursued his career at PT Surya Kencana Lembang Bandung (1988-1990), PT Q’TA Indo Citra Bandung (1990-1992), Arifin W. Public Accounting Firm Bandung (1992-1998), and currently serves as the Company’s Head of the Internal Audit Unit (November 2019 - present).

The Company also has compiled a Nomination and Remuneration Committee Charter dated September, 12 2019 as a reference for the Nomination and Remuneration Committee in carrying out its duties and responsibilities in accordance with Financial Services Authority Regulation Number 34/POJK.04/2014 concerning the Nomination and Remuneration Committee of Issuers or Public Companies.

Roesbima Trisoera

Roesbima Trisoera, 56 years old, is an Indonesian citizen and was born in Moscow on May 10, 1964.

He obtained bachelor’s degree from Trisakti University, Jakarta in 1990, and obtained Master of Business & Administration from Regis University, Denver, Colorado, United States.

He was the owner and founder of PT Kadya Caraka Mulia and PT Dasa Eka Jasatama (coal mining concessions) in 1994. From 1994 to 2003, he served as Director of PT Kadya Caraka Mulia. In 1996 – 2003, he served as Director of PT Dasa Eka Jasatama. In 2008, he was a shareholder of PT Talenta Bumi and a founder. Since 2010, he has served as Commissioner of PT Garda Usaha Abadi and PT Jasa Fortuna Nusantara Megajaya. From 2001 – 2010, he served as Director of PT TTI Trans Global. Since 2011, he has served as Commissioner of PT Dana Brata Luhur Tbk.

Emily Bonosusatya

Emily Bonosusatya, 25 years old, is an Indonesian citizen. She was born in Jakarta, June 21, 1994.

She obtained a Bachelor of Business Administration, Finance at Loyola Marymount University, Los Angeles, United States in 2015.

She started her career as Managing Director at PT Robust Buana Tunggal in 2016 to 2019. Then, she joined the Investment Team at Northstar Group (Private Equity Company) from August 2019 to date. She assumed the position of Commissioner in the Company in September 2019.

Ayu Yusman, an Indonesian citizen, was born on September 28, 1986.

She obtained Bachelor of Commerce at the University of Western Australia.

She started her career in Audit & Assurance at WHK Horwath in 2008 - 2010; Audit & Assurance at BDO Kendall 2010 - 2011; Finance & Accounting at PT. Earth Talent 2011 – 2018; and finally, since 2018 she has joined the Company as Corporate Secretary until the present time.
